The due dates for payment of fees and costs under this Agreement shall be the date(s) specified in this Agreement, provided that if no date is specified, the due date shall be the date of Translator\'s billing for the fees or costs. Any payments for fees or costs not received by Translator within _______ days of the due date will be deemed late and shall be subject to a ________% per month late charge. Client agrees to be responsible for Translator\'s costs in collecting late payments due from Client, including reasonable attorneys\' fees.

3. Cancellation or withdrawal by Client. If Client cancels or withdraws any portion of the item(s) described in paragraph 1 above prior to Translator\'s completion of the service(s), then, in consideration of Translator\'s scheduling and/or performing said service(s) Client shall pay Translator the portion of the above fee represented by the percentage of total service(s) performed, but in any event not less than _____% of said fee.

4. Additional fees. Additional fees will be payable, to be calculated as provided below, in the event the following additional services are required: (a) investigation, inquiry, or research beyond that normal to a routine translation is required because of ambiguities in the item(s) to be translated; (b) additional services are required because Client makes changes in the item(s) to be translated after the signing of this Agreement; and (c) Translator is requested to make changes in the translation after delivery of the translation, because of Client\'s preferences as to style or vocabulary, and such changes are not required for accuracy. Such additional fees will be calculated as follows:

5. Additional costs. Client shall reimburse Translator for necessary out-of-pocket expenses incurred by Translator that are not a normal part of routine translation procedure, such as overnight document delivery service requested by Client, long distance telephone and telefax expenses to clarify document ambiguity, etc.

6. Client\'s review of translation. Upon receipt of the translation from Translator, Client shall promptly review it, and within 30 days after receipt shall notify Translator of any requested corrections or changes. Translator shall correct, at no cost to Client, any errors made by Translator.

7. Confidentiality. All knowledge and information expressly identified by Client in writing as confidential which Translator acquires during the term of this Agreement regarding the business and products of Client shall be maintained in confidentiality by Translator and, except as expressly authorized by Client in writing, shall not be divulged or published by Translator and shall not be authorized by Translator to be divulged or published by others. Confidential information for purposes of this paragraph shall not include the following:

a. Information which is or becomes available to the general public, provided the disclosure of such information did not result from a breach by Translator of this paragraph.

b. Terminological glossary entries compiled by Translator in the course of Translator\'s performance of the translation service(s) under this Agreement; provided, however, that Client and Translator may agree in writing that, upon payment by Client to Translator of an agreed-upon fee, such terminological glossary entries shall be the property of Client and shall be covered by the confidentiality provisions of this paragraph.

8. Translation is property of client, copyright. Upon Client\'s completion of all payments provided herein, the translation of the item(s) described in paragraph 1 above shall be the property of Client. Translator has no obligation to take any steps to protect any copyright, trademark or other right of Client with respect to the translation, except as may be expressly otherwise provided in this Agreement. Notwithstanding the foregoing, Translator shall have the right to retain file copies of the item(s) to be translated and of the translation, subject to the provisions of paragraph 7 above.

9. Indemnification and hold-harmless by Client. Client agrees to indemnify and hold Translator harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable attorneys\' fees) which Translator may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by Client for use by Translator in the work performed under this Agreement.

10. Changes by others. Translator shall have no responsibility whatever as to any changes in the translation made by persons other than Translator.

11. Governing law. This Agreement shall be governed by the laws of the State of _____________________.

TRADE BOOK CONTRACT for TRANSLATION

AGREEMENT dated the day of ,

between:

In consideration of the covenants and conditions contained in this agreement, the translator and the publisher agree as follows:

1.1. Licence to Publish. The translator grants to the publisher the sole and exclusive licence to publish and sell the translated work in book form, including talking books produced or licensed by the publisher, in the *[English language \\French language \\ language]* in Canada and in any other territory for which the publisher has been licensed by the author of the underlying work to produce *[an English-language \\a French-language \\a -language]* translation, together with such further licences as are hereinafter specified.

2.1 Obligation to Translate. The translator agrees to translate the underlying text accurately, without omissions, additions or other changes except as necessary to produce a translated work that is idiomatic and faithful to the underlying work in spirit and content, conforming to the standards upheld by the Literary Translators Association of Canada.

2.2 The translator shall not be held responsible for loss or consequential damages resulting from the exploitation of the translated work.

3.1 Delivery of Manuscript. The translator shall deliver to the publisher a legible manuscript, typed and double spaced, by , .

3.2 If the translator agrees to provide the text in machine-readable form compatible with the publisher\'s systems, the publisher agrees to pay the translator the sum of $ , payable within 30 days of delivery of the complete text in disk or other electronic form.

3.3 Should unforseen technical difficulties prevent the manuscript from being completed by the above date the translator shall inform the publisher without delay and a reasonable revised delivery date no more than 90 days later shall be agreed upon. If at the revised delivery date the complete manuscript has still not been delivered, the publisher may terminate this agreement in writing delivered to the translator, who shall return the sum of money paid under clause 12.2.

3.4 Should completion of the translated work become impossible owing to illness, accident, or other incapacity of the translator or to unforeseen circumstances beyond the control of the translator, the translator shall advise the publisher without delay and shall be entitled to a portion of the sums provided for in clauses 12.1 and 13 and credit proportionate to his or her contribution to the final finished work, with due consideration for revision by the subsequent translator.

3.5 Where considerations of time require text or proofs, whether complete or in segments, to be forwarded by more rapid means than ordinary mail, the publisher shall bear the cost of such forwarding.

3.6 All original and copy-edited manuscripts remain the property of the translator and, together with any illustrations or other original materials provided by the translator, shall be returned by the publisher to the translator within 60 days following publication.

4.1 Acceptability Should the publisher consider the translation unacceptable it shall notify the translator within 30 days of receipt of the manuscript, failing which the translation shall be deemed acceptable.

4.2 Dispute regarding the acceptability of the translation or approval of editorial changes may be submitted by either party for adjudication arranged by the Literary Translators Association of Canada, if the translator is a member of the Association. The translator and the publisher agree to accept the decision of the adjudicators.

4.3 If the translation is judged unacceptable under clause 4.2, or the translation is not completed for reasons set out in clause 3.4, or the translator and the publisher agree to terminate this agreement, the translator agrees to allow revision of the translation and to assign copyright in the translated work to the publisher.

5.1 Copyright. The copyright in the translated work shall remain the property of the translator and the copyright notice in the name of the translator shall be placed in every copy of the translated work published or licensed. The translator acknowledges that retained or reverted rights in the translation may be exercised only in conjunction with the author\'s exercise of corresponding rights in the underlying work.

5.2 The translator warrants to the publisher that the translated work is original and, subject to the originality of the underlying work by the author and the accuracy of the publisher\'s warranty in clause 5.3, does not infringe any copyright.

5.3 The publisher warrants to the translator that it has obtained the permission of the author or other owner of copyright in the underlying work to publish and sublicense the translated work, and that it has obtained or will obtain any additional permissions required in respect of any copyright material to be included in the translated work that belong to persons other than the author.

5.4 If any such additional permissions are required, the publisher agrees to obtain them and to pay any fees in connection therewith.

6.1 Obligation to publish. The publisher agrees to publish the translated work in a hardcover or quality paperback trade edition within 12 months following receipt of the completed manuscript, or by the month of , , whichever is later.

6.2 Should this agreement be breached by the publisher prior to publication, all rights shall, at the translator\'s option, revert to the translator and the translator shall be entitled to a portion of the sum provided by clause 12.1 commensurate with that part of the translated work completed. Such portion shall in no circumstance be less than the sum provided by clause 12.2.

7.1 Additional Materials If the translator and the publisher agree that the translator will provide materials in addition to those in the underlying work, such as a preface, tables, or illustrations, the publisher shall pay the translator an additional sum to be negotiated separately. Any other additional materials shall be provided by the publisher at its own expense.

7.2 Textual Changes. Additional translation or retranslation of translation already done that is made necessary by additions to or changes made in the underlying text shall be counted as additional text and the sum provided by clause 12.1 shall be increased accordingly.

8. Manuscript Delivered in Sections. If the publisher has required the manuscript to be delivered in sections, the translator shall be allowed a reasonable period to review the entire copy-edited manuscript and to make those changes that the translator may deem advisable to ensure consistency and coherence of the text.

9. Publisher\'s Changes. No changes to the manuscript or the proofs shall be made without the consent of the translator and no deduction from the sum provided by clause 12.1 shall be made on account of any publisher\'s changes. A copy-edited manuscript shall be returned to the translator for final approval before the translated work goes for typesetting. Where the translated work is submitted by the translator to the publisher in machine readable form for marking and editing, a marked and edited printout showing all changes shall similarly be returned to the translator for final approval before typesetting.

10. Design of Translated Work. The publisher shall consult with the translator regarding the title, jacket or paperback cover design and jacket or paperback cover copy but the publisher shall retain the final decision on these and all matters relating to the appearance of the book. The name of the translator shall appear on the title page and jacket front or front paperback cover of every copy of the translated work and in all advertising, press releases and review slips issued by the publisher, its licensees, or its agents.

11. Proofs. The publisher shall submit galley and page proofs to the translator, including all front and back matter, and allow the translator a reasonable period in which to make corrections. If the translator\'s alterations to the proofs (other than corrections of printer\'s or publisher\'s errors) incur costs to the publisher in excess of 10% of the original cost of composition, the excess costs shall be paid by the translator. The publisher shall furnish printers\' invoices or other written proof of such excess costs.

12.1 Fixed Payment. The publisher undertakes to pay the translator the sum of dollars, calculated at the rate of per word of source text.

12.2 Within 30 days of signing the present agreement the publisher undertakes to pay the translator the sum of dollars, which sum shall be not less than one-third of the sum provided by clause 12.1.

12.3 The remainder of the sum provided by clause 12.1 shall be paid within thirty days of acceptance of the complete translation.

13.1 Royalties. In addition to the sum provided by clause 12.1, the publisher shall pay the translator royalties equivalent to % of the list or suggested retail price on all copies of all hardcover and quality paperback editions of the translated work sold in excess of copies of all of the publisher\'s editions combined and % of the list or suggested retail price on all mass market paperback copies.

13.2 The publisher shall pay the translator % of the list or suggested retail price on all talking books produced by the publisher.

13.3 Payments shall be made at regular six-monthly intervals.

14. Interest. In the event of any fixed or royalty payment being late by more than one month the publisher shall pay interest on money overdue at the rate of 3% per annum above the Bank of Canada short term bank rate.

15. Translator\'s Free copies On publication of the translated work, the publisher shall give the translator free copies and a reasonable number of any subsequent or licensed edition. The translator shall have the right to buy additional copies of any edition at a discount of at least 40% from the list or suggested retail price.

16. Subsidiary Licences. In consideration of the provisions of this agreement and the payment to the translator of the specified percentage of all revenues received by the publisher in each instance, the translator authorizes the publisher as his or her agent to grant the following licences for the translated work but only in respect to rights and territories for which the publisher has been licensed or appointed as agent by the author of the underlying work and subject to the following terms and conditions:

16.1 first serialization rights (newspaper, magazine, or periodical publication prior to publication of the translated work); translation rights; foreign publishing rights: %;

16.2 second serialization rights (newspaper, magazine, or periodical publication after publication of the translated work); syndication rights; photocopying and other reprographic rights; anthology, abridgement or excerpt rights: % (no abridgement shall be made of the whole or any part of the translated work without the approval of the translator);

16.3 book club, mass market paperback, and other reprint rights: %;

16.4 film, video, radio, sound recording (talking books), live stage and other dramatic rights: %; merchandising rights: %.

The publisher shall supply copies of all such licences to the translator within 30 days of receipt.

Payment of revenues from subsidiary licences shall be calculated on the gross monies received by or credited to the publisher and shall be made within 30 days of receipt of any such monies.

Any agent\'s commission shall be deducted from the publisher\'s share of revenues.

17. Reprography. Notwithstanding any other provision of this agreement, any one of the translator, author or publisher may license the Canadian Reprography Collective (CANCOPY) or the Union des écrivaines et écrivains québécois (UNEQ) to administer photocopying and other reprographic rights in the translated work on behalf of the translator, author and publisher and authorize CANCOPY or UNEQ to make payments in respect to the translated work directly to the translator, author and publisher in accordance with the rules, by-laws and affiliation agreements of CANCOPY or UNEQ, and in such event the publisher shall have no obligation to pay the translator a share of such royalties paid directly to the publisher.

18. Statements and Books of Account. The publisher shall provide the translator with statements of copies sold and monies received or receivable relating to the translated work at least twice a year. The translator or translator\'s representative shall be entitled to inspect the publisher\'s books of account and all other documents pertaining to the work and if such inspection discloses an error of more than 5% with respect to any royalty statement, the publisher shall reimburse the translator for the translator\'s cost of inspection.

19.1 Reversion of Rights. All licences granted under this agreement shall expire simultaneously with those extant under the agreement between the author of the underlying work and the publisher, and all rights shall then revert to the translator.

19.2 Insolvency. In the event of bankruptcy, receivership, assignment for the benefit of creditors, or liquidation of the publisher for any cause whatsoever, all rights shall automatically revert to the translator and the translator shall be entitled, subject to the prior rights of the author of the underlying work, to purchase all remaining sheets and copies at their fair market value and film and other reprographic materials at their depreciated value, not to exceed one third of their cost of manufacture.

19.3 Out of Print. If following publication the publisher fails to report any sales of the translated work for any period of twelve months, or fails to list the work in the publisher\'s catalogue, or has fewer than 100 copies in print and refuses to reissue the work within six months after written demand from the translator or the author of the underlying work, all rights relating to this agreement shall revert to the translator in conjunction with the reversion of corresponding rights to the author.

20.1 Sale of Overstock or Remainders. If the publisher elects to sell the translated work as overstock or to remainder or pulp the translated work, it shall inform the translator in writing and the translator shall be entitled, subject to the prior rights of the author of the underlying work, to purchase all or any number of the remaining copies at the lowest price at which the publisher is selling or offering to sell copies to any other purchaser.

20.2 The publisher shall pay the translator a royalty of % of all monies received by the publisher from the sale of all remaindered or overstock copies. Any sale of remainder stock shall entitle the translator to treat the work as out of print.

21.1 Assignment. This agreement shall not be assigned by either the publisher or the translator without the prior written consent of the other, provided that the translator may assign his or her right to receive royalties hereunder.

21.2 If, with the written consent of the translator, the publisher assigns the trade licence for the translated work to another publisher, the publisher shall undertake to pay or to cause such other publisher to pay to the translator the royalties provided by clause 13.

22. Disputes. Except as provided by clause 4.2, should disputes arise under this agreement that cannot be resolved by discussion between the translator and the publisher, a written grievance may be delivered. A representative chosen by the translator and a representative chosen by the publisher shall address the dispute within 10 days of receipt of the grievance. Failing resolution by the representatives within 30 days, either party may submit the dispute to arbitration, and failing agreement between the parties on the choice of an arbitrator the dispute shall be resolved by a single arbitrator in accordance with the Arbitration Act of the Province of . The translator and the publisher agree that the decision of the arbitrator shall be final and binding, that there shall be no appeal and that such arbitration award may be entered in a court of competent jurisdiction.

23. This agreement shall be construed and interpreted according to the laws of the Province of .

If Client cancels or withdraws any portion of the item(s) described in paragraph 1 above prior to Translator\'s completion of the service(s), then, in consideration of Translator\'s scheduling and/or performing said service(s) Client shall pay Translator the portion of the above fee represented by the percentage of total service(s) performed, but in any event not less than 50% of said fee.

4. Additional Fees.



A. Additional fees will be payable, to be calculated as provided below, in the following cases:

i. additional services are required because of ambiguities in the item(s) to be translated;

ii. additional services are required because Client makes changes in the item(s) to be translated after the signing of this Agreement; and

iii. Translator is requested to make changes in the translation after delivery of the translation, because of Client\'s preferences as to style or vocabulary, and such changes are not required for accuracy.

B. Such additional fees will be calculated as follows:

i. additional services will be billed at an agreed upon hourly rate;

ii. additional translation or changes will be billed on a per 5 keystroke source word basis, consistent with the fee indicated in paragraph 2.

Client shall reimburse Translator for necessary out-of-pocket expenses incurred by Translator that are not a normal part of routine translation procedure, including, but not limited to, overnight document delivery service requested by Client, long distance telephone and fax expenses to clarify document ambiguity.

Upon Client\'s completion of all payments provided herein, the translation of the item(s) described in paragraph 1 above shall be the property of Client. Translator has no obligations to take any steps to protect any copyright, trademark or other right of Client with respect to the translation, except as may be expressly otherwise provided in this Agreement. Notwithstanding the foregoing, Translator shall have the right to retain file copies of the item(s) to be translated and of the translation, subject to the provisions of paragraph 7 above.

9. Indemnification and Hold-Harmless by Client.

Client agrees to indemnify and hold Translator harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable attorney\'s fees) which Translator may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by Client for use by Translator in the work performed under this Agreement.

10. Changes by Others.

Translator shall have no responsibility whatever as to any changes in the translation made by persons other than Translator.

11. Governing Law.

This Agreement shall be governed by the laws of the State of Colorado.

12. Complete Agreement.

This is the complete agreement of the parties as to the subject matter hereof. Any changes in this Agreement must be in writing signed by both parties.

This Agreement becomes a binding contract only upon signature by both parties and the delivery of fully signed copies to each party.

Modèle de contrat de traduction

Les interprètes de conférence de l\'ATIO ont un modèle de contrat depuis 1992. Les traducteurs agréés ressentaient depuis quelque temps déjà le besoin d\'avoir recours à un document de ce genre.



Il va de soi que ce modèle de contrat ne conviendra pas à tous les membres, ni à toutes les situations. Toutefois, les membres agréés peuvent s\'en inspirer pour rédiger leurs propres contrats en enlevant, par exemple, certaines clauses qu\'ils jugeront inutiles ou en ajoutant d\'autres qu\'ils jugeront plus appropriées.



Bien que ce modèle de contrat s\'adresse également aux membres de l\'ATIO qui ne sont pas agréés, le service d\'arbitrage dont on fait mention n\'est offert qu\'aux membres agréés.

Logiciel

Le cas échéant, le traducteur agréé (ou la traductrice agréée) exécutera le travail à l\'aide du logiciel (nom du logiciel et numéro de version) sur support (IBM ou MacIntosh) et le remettra au client sur disquette(s) de (5,25 po. ou 3,5 po.).



Personne-ressource

Pour toute explication, précision, interprétation, information, etc. se rapportant au texte, le traducteur doit consulter (nom, adresse et numéro de téléphone de la personne-ressource).



Documentation

La documentation nécessaire au travail, par exemple les versions antérieures du même document, les glossaires, les lexiques, etc., sera fournie par le client OU ne sera pas fournie par le client.



Droits d\'auteur

Le client garantit au traducteur agréé (ou à la traductrice agréée) qu\'il détient tous les droits et pouvoirs nécessaires pour faire traduire le document susmentionné et que la traduction faite par le traducteur agréé (ou la traductrice agréée) ne contreviendra en rien aux droits d\'auteur existants. Le client convient de reconnaître le traducteur agréé (ou la traductrice agréée) indemne et à couvert de toute poursuite, action, perte ou dommage par suite d\'une contravention à la présente garantie.



Il est entendu que les traductions sont protégées par la Loi sur le droit d\'auteur et ne peuvent être reproduites ou autrement utilisées en contravention des droits d\'auteur détenus par le traducteur. (Nom du traducteur agréé (ou de la traductrice agréée)) cède au client par la présente ses droits d\'auteur sur la traduction convenue, à condition d\'avoir reçu le paiement complet pour les services fournis aux termes de la présente entente.



Corrections d\'auteur

Le traducteur agréé (ou la traductrice agréée) s\'engage à apporter les corrections désirées par le client au tarif de ________ $ l\'heure.



Tout remaniement du texte à traduire ou toute révision de l\'auteur, une fois le travail de traduction commencé, est compté comme texte supplémentaire et facturé au tarif de ________ $ l\'heure.



Annulation du travail

En cas d\'annulation de la demande de traduction en cours d\'exécution du contrat, le traducteur agréé (ou la traductrice agréée) devra être rémunéré(e) au prorata du travail exécuté (selon le mode choisi, soit au mot, à l\'heure ou pour une somme forfaitaire).



Responsabilité du traducteur (ou de la traductrice)

La responsabilité du traducteur agréé (ou de la traductrice agréée) se limite à la valeur totale du contrat. En outre, le traducteur agréé (ou la traductrice agréée) n\'est pas responsable des modifications apportées à son travail par d\'autres personnes.



Arbitrage

Tout différend entre le traducteur agréé (ou la traductrice agréée) et le client relativement à la qualité du travail peut être soumis au Comité d\'évaluation et d\'arbitrage de l\'Association des traducteurs et interprètes de l\'Ontario en vue d\'une évaluation professionnelle objective. Les deux parties s\'engagent à respecter la décision de ce comité. Si le travail est jugé insatisfaisant, la responsabilité du traducteur agréé (ou de la traductrice agréée) ne dépassera pas le montant des honoraires demandés pour le travail.



Livraison

Le traducteur agréé (ou la traductrice agréée) s\'engage à livrer au client au (adresse de livraison), au plus tard le (date et heure), _______ copie(s) papier et _______ copie(s) informatique(s) du travail fini OU s\'engage à livrer au client le travail fini par modem.



Facturation

Les frais suivants seront facturés en sus au client :

Because all Spaniards have National Identity numbers that they fill in on most official documentation, whenever they\'re dealing with a non-Spaniard they usually ask for the passport number instead. I\'m not sure if this is normal on translator contracts but it\'s definitely normal on almost all official documents, purchases, orders etc.

Nu weet ik niet hoe dit in Nederland te werk gaat, tekenen ze engelse kontrakten of heb ik er een in het nederlands nodig. Zo ja, waar kan ik zoiets vinden.

xxxxxx (“Cliente”) por el presente acuerda lo siguiente:



1. Descripción de servicios.

A. El Traductor, con capacidad para contratar independientemente, proveerá los siguientes servicios: Traducción de Documentos

B. Los documentos se entregarán al Traductor no más tarde de la fecha acordada. Asimismo, la traducción terminada se devolverá al Cliente no después de la fecha acordada.

C. El Traductor hará todos los esfuerzos posibles para completar la prestación de los servicios no más tarde de la fecha convenida anteriormente, no siendo responsable de los retrasos debidos a causas ajenas a su voluntad.

D. Los documentos traducidos se entregarán de la forma y en el formato acordados.



2. Honorarios por los servicios

El Cliente conviene en pagar la cantidad anteriormente acordada en concepto de honorarios del Traductor por los servicios más arriba mencionados. El pago se realizará contra entrega de la factura del Traductor. Cualquier pago de honorarios y otros costes que no sean percibidos por el Traductor dentro de los 30 posteriores a la fecha debida estarán sujetos a un recargo del 1,75% por mes de demora. El Cliente acuerda hacerse responsable de los costes del Traductor que se deriven del cobro de los pagos atrasados del Cliente, incluidos los honorarios razonables de abogados.



3. Anulación o rescisión por parte del Cliente.

Si el Cliente anula o rescinde parte de los servicios descritos en el Apartado 1, antes de que el Traductor haya finalizado el trabajo, en consideración de la planificación y asignación de recursos del Traductor en la realización del mismo, el Cliente pagará a éste la parte de los honorarios directamente proporcional al porcentaje que el Traductor haya realizado del total del trabajo, que, en ningún caso, serán inferiores al 50% de dicha suma.



4. Honorarios adicionales.

A. El Cliente abonará al Traductor honorarios adicionales, calculados como se detalla a continuación, en el caso de que el Cliente requiera servicios adicionales:

(a) Debido a ambigüedades en el material que se debe traducir.

(B) Debido a los cambios que el Cliente realice en el material que hay que traducir después de la firma del presente Contrato; y

(c) cuando se le pide al Traductor que introduzca cambios en la traducción después de la entrega de la misma, que se deban a las preferencias del Cliente en cuanto a estilo y vocabulario, y que tales cambios no sean necesarios por falta de exactitud.

B. Los honorarios adicionales se calcularán de la siguiente manera:

(a) Los servicios adicionales se facturarán según tarifa convenida por hora;

(b) las traducciones adicionales y los cambios se facturarán a razón de 5 pulsaciones por palabra origen, de acuerdo con los honorarios indicados en el Apartado 2.



5. Costes adicionales.

El Cliente deberá rembolsar al Traductor todos los gastos extraordinarios que éste haya tenido no debidos a procedimientos normales de traducción, incluyendo, entre otros, servicio nocturno de entrega de documentos a petición del Cliente y gastos por llamadas de larga distancia y faxes para clarificar ambigüedades en los documentos.



6. Revisión de la traducción por parte del Cliente.

Al recibir la traducción del Traductor, el Cliente deberá proceder a su revisión de manera inmediata y en el plazo de 30 días a contar desde la recepción, notificará al Traductor las correcciones y cambios que sea necesario realizar. El Traductor realizará las correcciones sin coste adicional para el Cliente.



7. Confidencialidad.

Todos los datos e informaciones expresamente identificados por escrito por parte del Cliente como confidenciales, a los que el Traductor tenga acceso durante el periodo de vigencia de este Contrato respecto a la actividad empresarial y a los productos del Cliente se mantendrán bajo la más estricta confidencialidad por parte del Traductor y, salvo que el Cliente de manera expresa lo autorice por escrito, no serán divulgados o publicados por terceras partes. No se considerará como Información Confidencial lo siguiente:

A. Información que sea o pase a ser de acceso público, siempre y cuando la divulgación de dicha información no sea el resultado del incumplimiento de este apartado por parte del Traductor.

B. Glosarios terminológicos compilados por el Traductor durante el proceso de traducción objeto de este Contrato. Sin embargo, siempre que Cliente y Traductor acuerden por escrito que, por una tarifa establecida para el efecto, los glosarios pasen a ser propiedad del Cliente, éstos pasarán a regirse por las cláusulas de confidencialidad de este apartado.



8. La Traducción es propiedad del Cliente, copyright.

Al hacer efectivos el Cliente todos los pagos aquí estipulados, la traducción del documento o documentos descritos en el Apartado 1 del presente Contrato serán propiedad del Cliente. El Traductor no tiene ninguna obligación de realizar acciones para proteger los derechos de autor, registro de marca u otros derechos del Cliente con respecto a la traducción, salvo que expresamente se estipulara lo contrario en el presente Contrato. No obstante lo cual, el Traductor tiene derecho a conservar copias de los documentos que hay que traducir así como de la traducción, sujetas a las cláusulas de confidencialidad del Apartado 7 del presente Contrato.



9. Indemnización y garantías del Cliente.

El Cliente acuerda indemnizar y eximir al Traductor de toda responsabilidad por cualquier tipo de demanda, daño, gastos o responsabilidades (incluidos honorarios razonables de abogados) en los que el Traductor pueda incurrir que sean imputables a informaciones, manifestaciones, informes, datos o especificaciones de productos provistos, preparados o aprobados por el Cliente para el uso del Traductor en la realización del trabajo solicitado en el presente Contrato.



10. Cambios realizados por terceros.

El Traductor no será responsable de los cambios en la traducción introducidos por personas distintas al propio Traductor.



11. Fuerza mayor

Se considerará Fuerza Mayor cualquier circunstancia ajena a la voluntad del Traductor, incluidos, entre otros, huelga, cierre patronal, conflicto laboral, revuelta civil y guerra, que pueda demostrarse que han afectado materialmente la capacidad del Traductor para llevar a cabo el encargo estipulado.



12. Jurisdicción.

El presente contrato se rige por las leyes de la xxxxxx.



13. Contrato definitivo.

Este es el Contrato definitivo de las partes respecto al objeto del presente. Cualquier modificación incorporada a este Contrato deberá realizarse por escrito y firmarse por las dos partes.

Este Contrato será vinculante sólo desde el momento de la firma por ambas partes y de la entrega de las copias a cada parte debidamente firmadas.
