I am never sure how to translate this. Is is 'stepping down'? Obviously not, as the sentence goes on to say 'the remaining Directors must urgently call a meeting .....' TIA for any insight

I suppose the Board doesn't exist at that point but a fiction is maintained that the directors other than the three who no longer hold office still have an official function.
What they actually mean is that the former directors other than those who officially no longer hold office other than by virtue of the dissolution of the Board must call a meeting.

: I think your last sentence of explanation holds the key. The Board is dissolved. The Board does not hold an office per se.
