מחדל – כל אי התאמה למה שנאמר בחוזה לבין אי ביצוע פעולה מצד אחד הצדדים. למרות זאת קיימים מקרים שבהם אי-קיום של סעיף לא ייחשבו כמחדל למשל מצבים שבהם חיובי הצדדים שלובים ומותנים אחד בשני. למשל אם החיובים מותנים אחד בשני אי קיום של צד ב' כתוצאה מאי קיום של צד א' לא ייחשב מחדל עבור צד ב'.
