Moim zdaniem nie można pominąć wyrażenia "bona fide" - odnosi się ono i do "accounts", i do "claims". Co prawda autorytety prawnicze uważają, że dokładanie tego "bona fide" jest zbędne, bo jest oczywiste że wszelkie roszczenia powinny być potrącane tylko wtedy gdy są to roszczenia w dobrej wierze (czyli wysuwający roszczenie jest przekonany - i ma ku temu podstawy - że jest ono zasadne), ale ciągle się to pojawia w umowach.

...A “certified” payment is clearly a liquidated sum. To have a process of deduction from such a sum there must clearly be some other stated sum. There could, for example, be some other liquidated sum. There could be some other sum which could be regarded as a contra account. But there would have to be some sum. There could not be a deduction of something that lacked any kind of specification. But need the sum to be deducted be a liquidated sum or an ascertained sum in the sense of an agreed sum or of a sum assessed by a court? The wording of the provision does not so indicate. There may be a deduction of the amount of any bona fide claim which the contractor may have against the sub-contractor.
