речь идет от сделке, где инвестфирма торгует от своего имени но формально в интересах клиента. Приобретает активы за свои средства и на свой баланс.
Для целей отчетности инвестфирма выступает в сделке в качестве принципала. Сама выполняет сделку за свой счет. Это не agency transaction, где фирма выполняет поручение клиента, и где приобретаемые активы фактически находятся в собственности клиента. В principal transaction инвестфирма сама торгует, но в целях хеджирования валютных рисков клиента.
Это тонкий вопрос, по поводу которого законодатели в ЕС до сих пор формулируют подходы. Вот краткое описание

These principal transactions made by a firm on its own account and on behalf of the client may have different names across Europe (e.g. “riskless principal”, “back to back transaction”, “on account of client in firm's name” and ”commissionaire”). Whilst these transactions do not appear as agency transactions, they are still executed on behalf of a client rather than compromising the proprietary capital of the executing firm.
