Any Dispute regarding whether implementing the Design Change Order would (i) prevent or prejudice the ability of Contractor to achieve any Phase II Early Utility Date by the corresponding Scheduled Phase II Early Utility Date or the Phase II Commercial Operation Date by the Scheduled Phase II Commercial Operation Date, (ii) have a materially adverse effect on Contractor’s ability to achieve the Performance Guarantees or (iii) the reasonableness of Purchaser’s proposed mitigation measures in relation to the impact of a Design Change Order shall be referred to the Third-Party Expert pursuant to Section 25.3 (Technical Disputes).
