Section 86a of the Dutch civil code has the following wording, which sometimes appears in articles of association:
"De levering van een aandeel ... werkt mede van rechtswege tegenover de vennootschap."
Does anyone know what this means?

The Juridisch Lexicon (Van den End) translates the full phrase 'levering werkt mede... de vennootschap' as 'a transfer shall also be legally binding on the company'.
