English to Serbian Bus/Financial Finance (general) cement plant

The Parties agree that ZZZ shall have the option to settle the Sale Price for the Sale
Interest in cash or through listed and fully-paid up ordinary shares of ZZZ parent
ZZZ S.A.B de C.V. (ZZZ Shares) (the number of which shall be determined
based on the average of their closing sale prices on the New York Stock Exchange for the
five trading days prior to the date of settlement). In case the Sale Price will be settled in
ZZZ Shares, ZZZ will compensate XXX for any costs and commissions
related to placing the ZZZ Shares in the market by way of a block trade.
